By accessing and using KiP Ai CMS (the "Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.
KiP Ai CMS is a cloud-based cannabis cultivation management platform that provides tools for monitoring, analyzing, and optimizing cannabis cultivation operations. The Service includes facility monitoring, data analytics, AI-powered insights, and related features designed specifically for licensed cannabis cultivators.
To access the Service, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and password. You agree to accept responsibility for all activities that occur under your account.
You agree to notify KiP AI immediately of any unauthorized use of your account or any other breach of security. KiP AI will not be liable for any loss or damage arising from your failure to maintain account security.
You represent that you are at least 18 years of age and possess the legal authority to enter into this agreement. You agree to use the Service only for lawful purposes related to licensed cannabis cultivation.
Your subscription to the Service is on a recurring monthly or annual basis, depending on the plan you select. You authorize KiP AI to charge your payment method on a recurring basis according to the billing cycle you choose. All charges are made in Canadian Dollars (CAD).
Billing is processed through Stripe. By providing your payment information, you authorize Stripe to securely process your subscription payment. KiP AI does not store your full payment card details.
Your subscription will automatically renew at the end of each billing period unless you cancel it. You will be charged the current subscription rate unless you change or cancel your plan prior to the renewal date.
You may cancel your subscription at any time through your account settings or by contacting support@kipai.ca. Cancellation takes effect at the end of your current billing period. No refunds will be issued for partial months or years.
Except as required by law, subscriptions are non-refundable. If you believe you are entitled to a refund due to a billing error or other exceptional circumstance, contact support@kipai.ca within 30 days of the charge.
KiP AI reserves the right to change subscription prices. You will be notified of price increases at least 30 days before they take effect. If you do not agree to the new price, you may cancel your subscription.
You agree not to use the Service for any unlawful purposes or in violation of any local, provincial, national, or international law or regulation. Specifically, you agree:
All intellectual property rights in the Service, including but not limited to software, code, features, functionality, design, and documentation, are owned exclusively by KiP AI. You are granted a limited, non-exclusive, non-transferable license to use the Service for your licensed cannabis cultivation operations during the term of your subscription.
You retain ownership of all data you input into the Service, including cultivation records, facility information, and related metadata. KiP AI does not claim ownership of your data.
Any feedback, suggestions, or ideas you provide to KiP AI regarding the Service may be used by KiP AI without compensation or attribution.
Your use of the Service is governed by our Privacy Policy, which is located at /privacy.html. Please review the Privacy Policy to understand our data practices, including what information we collect, how we use it, and how we protect it.
The Service is provided on an "as-is" and "as-available" basis. KiP AI makes no representations or warranties of any kind, express or implied, regarding the Service, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. KiP AI does not warrant that the Service will be uninterrupted, error-free, or free of harmful components.
To the fullest extent permitted by law, KiP AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business interruption, even if KiP AI has been advised of the possibility of such damages. In no case shall the total liability of KiP AI exceed the total amount you have paid to KiP AI in the 12 months preceding the claim.
You may terminate your account and subscription at any time by canceling your subscription through your account settings or by contacting support@kipai.ca.
KiP AI may terminate or suspend your account and access to the Service, without notice, if: (a) you violate these Terms of Service; (b) you engage in unlawful conduct; (c) you fail to pay subscription fees; or (d) KiP AI determines that continued access poses a legal or security risk.
Upon termination, your right to use the Service ceases immediately. KiP AI may delete your data within 30 days of account termination, except as required by law.
These Terms of Service are governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law principles. You agree that any legal action or proceeding relating to these terms or your use of the Service shall be brought exclusively in the courts located in Ontario, and you consent to the personal jurisdiction of such courts.
KiP AI reserves the right to modify these Terms of Service at any time. If we make material changes, we will notify you by email or by posting a prominent notice on the Service. Your continued use of the Service after such modifications constitutes your acceptance of the updated terms.
