By accessing and using KiP Ai CMS (the "Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.
KiP Ai CMS is a cloud-based cannabis cultivation management platform that provides tools for monitoring, analyzing, and optimizing cannabis cultivation operations. The Service includes facility record-keeping, data analytics, AI features that analyse the photos you submit, draft summaries from your records and answer questions over your own records, and related features designed specifically for licensed cannabis cultivators.
To access the Service, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and password. You agree to accept responsibility for all activities that occur under your account.
You agree to notify KiP AI immediately of any unauthorized use of your account or any other breach of security. KiP AI will not be liable for any loss or damage arising from your failure to maintain account security.
You represent that you are at least 18 years of age and possess the legal authority to enter into this agreement. You agree to use the Service only for lawful purposes related to licensed cannabis cultivation.
Your subscription to the Service is billed on a recurring basis, monthly or, for Pro and Pro+ plans chosen as annual at checkout, once a year at 12 times the monthly price. LP Pro and Enterprise plans are billed on the terms of their contract. You authorize KiP AI to charge your payment method on a recurring basis according to your plan's billing cycle. All charges are made in Canadian Dollars (CAD).
Billing is processed through Stripe. By providing your payment information, you authorize Stripe to securely process your subscription payment. KiP AI does not store your full payment card details.
Your subscription will automatically renew at the end of each billing period unless you cancel it. You will be charged the current subscription rate unless you change or cancel your plan prior to the renewal date.
You may cancel your subscription at any time through your account settings or by contacting keenan@kipai.ca. Cancellation takes effect at the end of your current billing period. No refunds will be issued for partial months. An annual plan that is cancelled stays active until the end of the year already paid for, and the unused part of that year is not refunded.
Except as required by law, subscriptions are non-refundable. If you believe you are entitled to a refund due to a billing error or other exceptional circumstance, contact keenan@kipai.ca within 30 days of the charge.
KiP AI reserves the right to change subscription prices. You will be notified of price increases at least 30 days before they take effect. If you do not agree to the new price, you may cancel your subscription.
(a) What is included. A Pro or Pro+ subscription bought as an annual plan at checkout, or switched to annual in Billing, and paid, includes a tablet pre-loaded with KiP Ai. LP Pro and Enterprise customers may arrange the tablet as part of their contract.
(b) One per account. Each account receives one tablet, with its first paid annual plan. Renewals, changes between plans, and cancelling and subscribing again do not include another tablet.
(c) Shipping. We ship the tablet free of charge to the Canadian address you enter at checkout or when you switch to annual, and we will email you when it ships. We can only ship within Canada. If we cannot deliver to that address, we will contact you by email. If the tablet arrives damaged or does not arrive, tell us within 14 days of the expected delivery and we will arrange a replacement.
(d) Yours to keep. The tablet is yours to keep once your first annual payment has been received, including if you later cancel. It has no cash value and cannot be exchanged for credit or a refund. If your first annual payment is refunded or reversed, we may ask you to return the tablet or charge you its retail value.
(e) Warranty and security. The tablet is covered by its manufacturer's warranty. KiP AI does not provide a separate warranty for the device. You are responsible for keeping the tablet and your sign-in on it secure.
(f) Changes to the promotion. We may end or change this promotion at any time by giving notice on our website. Any tablet already earned by a paid annual plan will still be shipped.
You agree not to use the Service for any unlawful purposes or in violation of any local, provincial, national, or international law or regulation. Specifically, you agree:
All intellectual property rights in the Service, including but not limited to software, code, features, functionality, design, and documentation, are owned exclusively by KiP AI. You are granted a limited, non-exclusive, non-transferable license to use the Service for your licensed cannabis cultivation operations during the term of your subscription.
You retain ownership of all data you input into the Service, including cultivation records, facility information, and related metadata. KiP AI does not claim ownership of your data.
Any feedback, suggestions, or ideas you provide to KiP AI regarding the Service may be used by KiP AI without compensation or attribution.
Your use of the Service is governed by our Privacy Policy, which is located at /privacy.html. Please review the Privacy Policy to understand our data practices, including what information we collect, how we use it, and how we protect it.
The Service is provided on an "as-is" and "as-available" basis. KiP AI makes no representations or warranties of any kind, express or implied, regarding the Service, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. KiP AI does not warrant that the Service will be uninterrupted, error-free, or free of harmful components.
To the fullest extent permitted by law, KiP AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business interruption, even if KiP AI has been advised of the possibility of such damages. In no case shall the total liability of KiP AI exceed the total amount you have paid to KiP AI in the 12 months preceding the claim.
You may cancel your subscription at any time through your account settings or by contacting keenan@kipai.ca. Cancelling moves your account to Trial; to have your account and data deleted, contact us and KiP staff will handle the request as described in Section 10.3.
KiP AI may terminate or suspend your account and access to the Service, without notice, if: (a) you violate these Terms of Service; (b) you engage in unlawful conduct; (c) you fail to pay subscription fees; or (d) KiP AI determines that continued access poses a legal or security risk.
When you cancel your subscription, or a subscription payment fails, your account moves to the Trial tier: your facility data stays, and per-module exports (CSV, PDF, JSON) remain available. If KiP AI terminates your access under Section 10.2, your right to use the Service ceases. Your data is deleted on the account owner's request; KiP acts on deletion requests within 30 days, except where the law requires records to be kept. Termination does not change your ownership of your data under Section 6.2.
These Terms of Service are governed by and construed in accordance with the laws of the Province of British Columbia, Canada, without regard to its conflict of law principles. You agree that any legal action or proceeding relating to these terms or your use of the Service shall be brought exclusively in the courts located in British Columbia, and you consent to the personal jurisdiction of such courts.
KiP AI reserves the right to modify these Terms of Service at any time. If we make material changes, we will notify you by email or by posting a prominent notice on the Service. Your continued use of the Service after such modifications constitutes your acceptance of the updated terms.
